Equinox Gold Closes Orla Merger, Sets Up CEO Handover to Jason Simpson

Equinox Gold (TSX: EQX) closed its business combination with Orla Mining on July 31, creating a company expected to produce roughly 1.1 million ounces of gold annually and triggering a leadership handover at the top of the merged entity.

Darren Hall will retire as chief executive effective October 31. Jason Simpson, previously Orla’s chief executive and now president of the combined company, will spend the next three months working alongside Hall before taking over the role.

Incoming chairman Chuck Jeannes framed the succession as a matter of stability, arguing the company needs a leadership team committed to the business over the long term following a year of rapid growth.

Jeannes takes the chair from Ross Beaty, who founded Equinox just over eight years ago and now becomes chairman emeritus and special advisor to the board. The reconstituted 11-member board includes both Hall and Simpson, with Lenard Boggio as lead director.

Under the arrangement, Orla shareholders received one Equinox common share plus a nominal cash payment of $0.0001 for each share held. Legacy Equinox holders own approximately 67% of the combined company on a fully diluted in the money basis, with former Orla holders taking the remaining 33%.

More than 60% of production now comes from three long life Canadian mines. Management has flagged a path beyond 1.9 million ounces annually, contingent on the Valentine Phase 2 expansion, Castle Mountain, South Railroad, Los Filos and the Camino Rojo underground project delivering as outlined.

Consolidated 2026 guidance is to be released August 5 with second quarter results.

Equinox Gold last traded at $12.56 on the TSX.
