Cerebras Files for $1 Billion IPO, Poised to Battle NVIDIA in AI Tech Race

Cerebras Systems Inc., a California-based startup known for its high-performance AI chips, has formally filed for an initial public offering. The company submitted a confidential draft version of its filing to the U.S. Securities and Exchange Commission in July, and its public filing today marks a significant step toward going public on the Nasdaq, where it will trade under the ticker symbol “CBRS.”

Cerebras aims to raise between $750 million and $1 billion in its IPO, according to a Bloomberg report last week, potentially valuing the company at up to $8 billion.

The company’s financials show rapid growth but also heavy reliance on a single customer for revenue. In the first half of 2024, Cerebras reported revenue of $136.4 million, marking a considerable increase from its $78.7 million in sales throughout 2022. However, much of this income — around 87% — came from a single source, the UAE-based AI company G42, as reported by The New York Times.

Despite its rapid growth, Cerebras is not yet profitable. The company faces stiff competition from established chipmakers like NVIDIA, which dominates the AI hardware market with its line of GPUs. NVIDIA’s GPUs are widely adopted in AI research and commercial applications, setting a high bar for Cerebras in terms of performance and adoption.

At the core of Cerebras’ business is its flagship product, the Wafer Scale Engine 3 (WSE-3), a chip designed to significantly boost the training and inference of AI models. Unlike traditional chips that fit on a single silicon die, the WSE-3 is a wafer-sized chip that is designed to maximize computational power and efficiency. With four trillion transistors organized into nearly 1 million cores and 44 gigabytes of high-speed SRAM memory, it is the largest AI chip on the market.

To put it in perspective, the WSE-3 contains about 50 times more cores and 880 times more memory than the largest commercially available graphics processing unit. This level of integration offers distinct advantages for the training of complex AI models. Traditional AI processing setups often require multiple GPUs to work together, which leads to inefficiencies and increased power consumption due to the need to transfer data between chips. However, the WSE-3’s capacity allows it to handle larger AI models on a single chip, reducing the need for data movement and boosting overall performance.

In the realm of AI computing, performance and efficiency are greatly impacted by the speed at which data moves between processing units. Standard AI model training and inference are often performed on clusters of GPUs, where data must be exchanged frequently. This inter-chip communication can become a bottleneck, slowing down processing and increasing power consumption.

Cerebras claims that its WSE-3 chip reduces this issue by minimizing data movement between processing units. The chip’s high transistor count and integrated memory allow large AI models to be processed on a single chip, avoiding the need to distribute computations across multiple GPUs. According to Cerebras, this design significantly increases power efficiency, a critical aspect for large-scale AI deployments that often involve thousands of chips and consume large amounts of electricity.

The WSE-3 chip is sold as part of the CS-3 appliance, which is approximately the size of a mini fridge and includes cooling equipment, power modules, and other auxiliary components necessary for optimal chip performance. The CS-3 is designed to be scalable, with up to 2,048 units deployable in a single AI cluster to match various performance needs. This modularity allows customers to scale their AI capabilities as required.

While Cerebras has demonstrated impressive revenue growth, the concentration of sales is a point of attention. A substantial portion of its income is derived from G42, an AI-focused company based in the United Arab Emirates, underscoring a dependency on a single customer. To mitigate this risk and continue its upward trajectory, Cerebras has stated its intention to expand its customer base and further enhance its technology.

The company’s IPO filing detailed a strategy focused on expanding its reach in the AI market through the development of “new products and form factors.” In addition, Cerebras launched a cloud service aimed at handling inference workloads, a type of AI computation that often demands lower latency and greater efficiency.

The IPO will be led by Citigroup and Barclays as the primary underwriters. Cerebras will join a handful of companies that have gone public this year amid a challenging market environment for tech IPOs.
