Advanced Micro Devices is paying roughly $2.8 billion more for World Labs than the AI startup’s reported post-money valuation only seven months ago, after AMD itself joined the financing round that established its latest private-market benchmark.
AMD said Monday it agreed to acquire World Labs in an all-stock transaction valued at approximately $8.2 billion. PitchBook data cited by The Information put World Labs’ February post-money valuation at about $5.4 billion, implying a roughly 52% increase between the funding round and the takeover price.
World Labs never publicly disclosed the valuation attached to its February funding round.
Bloomberg had reported in January that the company was discussing financing at about $5 billion. World Labs later announced it had raised $1 billion, with AMD, Nvidia, Autodesk, Emerson Collective, Fidelity Management & Research, and Sea among the investors.
AMD’s individual investment amount was not also disclosed.
The short interval between investor and acquirer also followed an existing technical relationship. World Labs CEO Fei-Fei Li told Reuters the companies had begun “a deep technical partnership with AMD last year,” focused on model training and inference optimization using AMD GPUs. AMD now says World Labs’ research will help it understand emerging AI workloads and shape future hardware, software, and systems.
World Labs develops spatial-intelligence models designed to generate and reason about three-dimensional environments. Its first product, Marble, can create persistent 3D worlds using text, images, video, and other inputs. AMD is positioning the technology around areas including robotics, simulation, design, and physical AI.
AMD’s September 26 merger agreement shows the $8.2 billion purchase price will be paid in AMD common stock, subject to customary adjustments. The final number of shares has not yet been determined. It will be calculated using AMD’s volume-weighted average share price during a 10-trading-day period ending two trading days before closing.
The deal is expected to close by the end of 2026, subject to regulatory approvals and other customary conditions. Li will join AMD as executive vice president and chief scientist, reporting to CEO Lisa Su.
