Vox Royalty (TSX: VOXR) has filed a statement of claim in the Ontario Superior Court of Justice against two wholly owned subsidiaries of Lahontan Gold (TSXV: LG), alleging a breach of a gold offtake agreement dating back more than eight years.
Gateway Gold Corp. and Gateway Gold (USA) Corp. have been served with the claim, which seeks monetary damages and other relief. The agreement in question is dated April 13, 2018 and was struck among Victoria Gold Corp., Stratagold Corp., Victoria Resources (US) Inc., the two Gateway entities and Orion Co-VI Ltd.
That list of signatories is the interesting part. When the offtake was signed, the Gateway subsidiaries and the Santa Fe ground they held sat inside Victoria Gold’s corporate structure. Lahontan was spun out in 2020 and took those subsidiaries with it, and Vox now argues the obligations attached to them came along for the ride.
Vox was not a party to the original deal. The royalty firm has spent the past two years accumulating legacy offtake instruments originally written by Orion entities, including one on i-80 Gold’s Nevada assets that was terminated earlier this year for roughly US$4.8 million in stock.
Lahontan says the claim is without merit and intends to defend the action vigorously. None of the allegations have been proven in court, and the company declined to address them further while the matter is before a judge, saying it will respond through the court process and update as securities law requires.
Management also stated it does not expect the claim to affect day-to-day operations or the execution of its business strategy.
The timing is awkward regardless. Lahontan spent the first half of 2026 advancing Santa Fe toward a production decision, with plans to update the project’s preliminary economic assessment and continue drilling the satellite West Santa Fe target. The past-producing property carries an indicated resource of 1.54 million ounces of gold equivalent, with a further 411,000 ounces inferred.
Lahontan Gold last traded at $0.38 on the TSX Venture.
