Google To Acquire Cybersecurity Firm Mandiant In A US$5.4 Billion All-Cash Deal

Google LLC announced today the definitive agreement to acquire cybersecurity firm Mandiant Inc. (Nasdaq: MNDT). The all-cash acquisition’s price tag is reportedly valued at US$5.4 billion.

The transaction price values Mandiant’s shares at US$23.00 per share. Upon closing, it is expected that the firm will join the tech giant’s cloud-based division Google Cloud.

“We look forward to welcoming Mandiant to Google Cloud to further enhance our security operations suite and advisory services, and help customers address their most important security challenges,” said Google Cloud CEO Thomas Kurian.

Mandiant shares jumped 16% prior to closing on Monday upon rumors of the agreement circulated, reaching US$22.49 upon closing bell. As the market opened today, the firm’s market cap is currently valued at around US$5.14 billion.

The transaction is expected to close later this year, subject to customary closing conditions and Mandiant shareholders’ approval.

Microsoft was initially reported to be in talks to acquire Mandiant but is said to have pulled out of the negotiations, according to sources familiar with the matter.
