The SEC has brought settled fraud charges against Adit Ventures Management, CEO Eric Munson, and three affiliated general partners, alleging the investment operation misled investors and used client assets for its own benefit while offering access to high-profile pre-IPO companies including SpaceX and Klarna.
The defendants consented to judgments without admitting the SEC’s allegations, according to the regulator. The settlement remains subject to federal court approval, while disgorgement, prejudgment interest, and civil penalties will be determined later by the court.
Munson also agreed to an industry associational bar, with the right to seek reentry after three years.
The case focuses partly on how Adit allegedly profited between acquiring private-company shares and placing them into client funds. The SEC alleges Adit and its affiliates purchased pre-IPO shares and then caused client funds to acquire those investments at higher prices while misrepresenting the original acquisition cost and failing to obtain required consent for the transactions.
The regulator also alleges the defendants collected millions of dollars in unauthorized acquisition fees.
The alleged conduct occurred from at least April 2019 through December 2024 and involved investments in companies including SpaceX and Klarna. The SEC says Munson also solicited an investor by falsely claiming an Adit fund already owned shares in a private company.
The regulator further alleges Adit-controlled funds made favorable unsecured loans that benefited the defendants without authorization or disclosure to investors. Client assets were also allegedly pledged as collateral for a $10 million credit line, part of which was used to repay obligations owed by the defendants.
Munson denied the allegations despite agreeing to settle.
“Let me be unequivocal: I have delivered for my investors, and I reject these allegations completely,” he said in a statement reported by Reuters.
He said settling was preferable to continuing litigation that he believed would not benefit investors.
